1. Introduction
These Terms & Conditions (“Terms”) govern your use of the Bosh mobile application and website (together, the “Service”) operated by Eris AI Limited, trading as Bosh (“Bosh”, “we”, “us”, or “our”), a company registered in England and Wales (Company No. 16897305) with its registered office at Cuthberts Cottage, Netherton Park, Northumberland NE61 6EG.
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Service Description
Bosh is a tax management application designed for UK sole traders. The Service provides:
- Bank transaction retrieval and automatic categorisation via Open Banking
- Income and expense tracking
- Real-time tax estimates and calculations
- Submission of Self Assessment tax returns and Making Tax Digital (MTD) updates to HMRC
- Deadline reminders and notifications
- Invoice creation and receipt scanning
3. Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Be a UK resident operating as a sole trader for tax purposes
- Have a valid Unique Taxpayer Reference (UTR) registered with HMRC
- Have the legal capacity and authority to enter into these Terms
4. Account Registration
You must create an account to use the Service. When registering, you agree to:
- Provide accurate, current, and complete information
- Keep your account details up to date
- Maintain the security of your login credentials and not share them with any third party
- Accept responsibility for all activity that occurs under your account
- Notify us immediately at hello@bosh.tax if you suspect any unauthorised use of your account
5. Subscription and Payments
5.1 Pricing
The Service is offered on a subscription basis. Current pricing and plan details are available on our website and within the app. All prices are in British Pounds (GBP) and inclusive of VAT where applicable.
5.2 Free Trial
New users may be eligible for a free trial period. At the end of the trial, your chosen subscription plan will begin, and you will be charged unless you cancel before the trial ends.
5.3 Payment Processing
All payments are processed securely by Stripe, Inc. We do not store your full payment card details. By subscribing, you authorise Stripe to charge your chosen payment method on a recurring basis according to your subscription plan.
5.4 Cancellation and Refunds
- You may cancel your subscription at any time through the app or by contacting hello@bosh.tax.
- Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date.
- We do not provide refunds for partial billing periods, except where required by law or at our sole discretion.
5.5 Price Changes
We may change our pricing from time to time. We will give you at least 30 days’ notice of any price increase. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.
6. Open Banking Consent
The Service uses Open Banking to retrieve your bank transaction data through our authorised provider, Finexer Ltd (FCA firm reference number 925695).
- By connecting your bank account, you consent to Finexer retrieving your transaction data on a read-only basis and sharing it with Bosh for the purposes described in our Privacy Policy.
- Neither Bosh nor Finexer can move money or make payments from your account.
- Your consent is valid for up to 90 days. You will be asked to re-authorise access periodically in accordance with FCA regulations.
- You may revoke access at any time through the app or directly through your bank.
7. HMRC Submissions
Bosh enables you to submit tax returns and Making Tax Digital (MTD) updates directly to HMRC through HMRC’s official APIs.
- You are solely responsible for reviewing and verifying the accuracy of all information before submitting to HMRC.
- Bosh provides tools to assist with tax calculations, but the ultimate responsibility for the correctness of your tax return lies with you as the taxpayer.
- Once a submission has been made to HMRC, it cannot be undone through Bosh. You may need to contact HMRC directly to amend a submitted return.
- We do not guarantee that HMRC will accept your submission. Rejections or queries from HMRC are your responsibility to resolve.
8. No Financial or Tax Advice
Bosh is a software tool, not an accountancy firm, tax adviser, or financial adviser.
- The Service does not provide financial advice, tax advice, legal advice, or accounting services.
- Tax calculations and estimates provided by Bosh are for informational purposes only and should not be relied upon as professional advice.
- We recommend consulting a qualified accountant or tax adviser for complex tax matters, including but not limited to capital gains, partnerships, rental income, or foreign income.
- Bosh does not accept liability for any losses arising from reliance on the tax calculations or estimates provided by the Service.
9. Your Obligations
When using the Service, you agree to:
- Provide accurate and complete information, including your income, expenses, and tax details
- Review all data and calculations before submitting to HMRC
- Comply with all applicable tax laws and HMRC requirements
- Not use the Service for any unlawful purpose, including tax evasion or fraud
- Not attempt to reverse-engineer, decompile, or interfere with the Service
- Not share your account with others or allow others to access the Service through your account
10. Intellectual Property
All intellectual property rights in the Service - including but not limited to the software, design, logos, trademarks, and content - are owned by or licensed to Eris AI Limited. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose, subject to these Terms.
You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse-engineer or attempt to extract the source code, except as permitted by law.
11. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.
- Bosh shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunity, arising from your use of the Service.
- Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount you have paid to us in the 12 months preceding the claim.
- Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Eris AI Limited, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your breach of these Terms
- Any inaccurate or incomplete information you provide through the Service
- Any tax penalties, fines, or charges imposed by HMRC as a result of data you submitted through the Service
13. Termination
13.1 By You
You may close your account and stop using the Service at any time by cancelling your subscription and requesting account deletion through the app or by emailing hello@bosh.tax.
13.2 By Us
We may suspend or terminate your access to the Service immediately, without prior notice, if:
- You breach these Terms
- We are required to do so by law or regulatory requirement
- We reasonably believe your account is being used for fraudulent or unlawful activity
- You fail to pay subscription fees when due
13.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will retain your data in accordance with our Privacy Policy and applicable legal requirements (including HMRC record-keeping obligations). You may request a copy of your data before account deletion.
14. Service Availability
We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control (including HMRC system outages). We will endeavour to give reasonable notice of planned downtime where possible.
15. Third-Party Services
The Service integrates with third-party services including Finexer (Open Banking), HMRC (tax submissions), Stripe (payments), and Google Cloud / Firebase (infrastructure). Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the availability, accuracy, or conduct of third-party services.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the app, by email, or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
18. Dispute Resolution
If you have a dispute with us, we encourage you to contact us first at hello@bosh.tax so we can try to resolve it informally. If we cannot resolve the dispute, you may pursue formal proceedings in the courts of England and Wales or use the European Commission’s Online Dispute Resolution platform (if applicable).
19. General
- Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bosh regarding the Service.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations to a successor in connection with a merger, acquisition, or sale of assets.
